5.Company's explanation of the reportage or provided information: According to a preliminary determination announced by the U.S. Department of Commerce (“DOC”) on May 17, 2012, Chinese exporters/producers sold solar cells to the U.S. at less than fair value. As a result, DOC determined to impose preliminary dumping margins ranging from 31% to 250% on solar cells from China. The preliminary determination affects Motech’s subsidiary, Motech (Suzhou) Renewable Energy Co., Ltd., not Motech itself. Exports of products from Motech to the U.S. will not be affected. Motech (Suzhou) Renewable Energy Co., Ltd. mainly produces high quality, high efficiency solar cells to satisfy customer demands in Japan, Europe and China. The impact of the anti-dumping determination is expected to be immaterial.
